Terms of Use

These Terms of Use (“Terms”) govern your use of the Material Hub Importer browser extension (the “Extension”). The Extension is provided by NextGen Project Management Systems Private Limited and NextGen Impact Inc (together, “Goodera”, “we”, “us”, or “our”).

By installing or using the Extension, you agree to these Terms and to Goodera’s Terms of Service. If you do not agree, do not install or use the Extension.

Your use of Material Hub and other Goodera services remains subject to Goodera’s Terms of Service and Privacy Policy. If these Terms and Goodera’s Terms of Service address the same subject, Goodera’s Terms of Service control, except where these Terms expressly describe how the Extension works.

1. The Extension

The Extension is a productivity tool for users who have a Goodera account with access to Material Hub. It helps you create a material record, or a variant of an existing material record, from product details shown on a supported Amazon product page.

2. Eligibility

You may use the Extension only if you are at least 18 years of age and have an active Goodera account with permission to use Material Hub. Your right to use the Extension ends if your Goodera account is deactivated or your access to Material Hub is withdrawn.

3. License

Subject to these Terms, Goodera grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension for lawful business purposes in connection with Material Hub.

You may not:

• copy, modify, distribute, sell, lease, or sublicense the Extension;
• use the Extension for any purpose other than creating or updating Material Hub records as intended; or
• use the Extension in a manner that violates applicable law or Goodera’s Terms of Service.

4. Your responsibilities

You agree to:

• use the Extension only to add catalogue information to Material Hub;
• review product details in the Extension before saving them;
• comply with Goodera’s Terms of Service and your organization’s policies; and
• keep your Goodera account secure and sign out of Goodera on shared devices.

5. Product details and third-party sites

Product titles, images, identifiers, and specifications displayed on third-party websites belong to those websites and to the relevant sellers or manufacturers. The Extension shows those details so you can create an internal Material Hub record. You are responsible for the records you create and for ensuring that your use of that information is appropriate for your organization’s purposes.

The Extension may not display complete details if the page you have open does not show them. Goodera does not warrant that details shown in the Extension are complete or accurate. You should review them before saving.

6. Disclaimer of warranties

THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOODERA DOES NOT WARRANT THAT THE EXTENSION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS, OR THAT PRODUCT DETAILS SHOWN IN THE EXTENSION WILL BE COMPLETE OR ACCURATE.

Some jurisdictions do not allow the exclusion of certain warranties. If those laws apply to you, some of the exclusions above may not apply, and you may have additional rights.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE EXTENSION, INCLUDING DAMAGES ARISING FROM INACCURATE OR INCOMPLETE PRODUCT DETAILS BEING SAVED TO MATERIAL HUB.

Nothing in these Terms limits liability that cannot be limited under applicable law. Any liability that remains is subject to the limitation of liability in Goodera’s Terms of Service.

8. Changes and availability

Goodera may modify, suspend, or discontinue the Extension, or update these Terms, at any time. The current Terms will be posted at this URL, and the “Last updated” date above will change when we revise them. Continued use of the Extension after an update constitutes acceptance of the revised Terms.

Goodera may end your access to the Extension at any time, including if your Goodera account is deactivated or your role no longer includes access to Material Hub.

9. Governing law and disputes

These Terms are governed in the same manner as Goodera’s Terms of Service. Disputes arising out of or relating to the Extension are resolved as set out in those Terms of Service, including the provisions on governing law and dispute resolution.

Nagar, Bengaluru 560078, India. For users outside India, the services are offered by NextGen Impact Inc, 400 Concar Drive, San Mateo, CA 94402, United States.
